End User License Agreement (EULA)

1. Introduction

This End User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and ValueVerse regarding software licenses and digital products purchased through our Platform.

By purchasing and activating a license through ValueVerse, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not purchase, install, or use the licensed products.

2. Grant of License

Subject to the terms of this EULA and applicable third-party vendor terms, ValueVerse grants you a limited, non-exclusive, non-transferable license to:

• Use the licensed software on devices associated with the registered email address
• Access and use features included in your specific license tier
• Receive updates and support as specified by the product vendor

The number of licenses purchased determines the number of authorized users or installations.

3. License Restrictions

You may not, and you agree not to or enable others to:

• Copy, modify, adapt, translate, or create derivative works of the licensed software
• Reverse engineer, decompile, disassemble, or attempt to derive source code from the software
• Rent, lease, loan, resell, sublicense, or distribute the licensed software
• Remove, alter, or obscure any proprietary notices on the software
• Use the software for any unlawful purpose or in violation of any applicable laws
• Share your license credentials or allow unauthorized access
• Exceed the number of authorized users or installations
• Use the software to develop competing products or services

4. Third-Party Software

ValueVerse acts as an authorized reseller for third-party software vendors. Each software product may be subject to additional terms and conditions imposed by the original vendor. You agree to comply with:

• The vendor's End User License Agreement
• The vendor's Terms of Service
• The vendor's Privacy Policy
• Any additional restrictions or requirements specified by the vendor

In case of conflict between this EULA and vendor-specific terms, the vendor's terms shall prevail for matters related to software functionality and usage.

5. License Activation and Transfer

Activation:

• Licenses are activated for the email address(es) specified during purchase
• Activation typically occurs within 24-48 hours of payment verification
• You will receive activation instructions via email
• Some products may require account creation with the vendor

Transfer:

• Licenses are generally non-transferable without vendor approval
• Transfer requests must be submitted in writing
• Transfer fees may apply as determined by the vendor
• Transferred licenses may have reduced validity periods
